1. Who we are and what these terms cover
Virtual Menu (virtualmenu.app) is a QR-code digital menu service operated by [COMPANY NAME], based in Portugal, tax / company registration number [TAX / COMPANY REGISTRATION NUMBER] ("we", "Virtual Menu").
These Terms of Use govern access to and use of the service by any establishment that creates an account ("customer", "establishment", "you") and, where applicable, by anyone browsing a menu published through it ("visitor"). By creating an account or using the service, you accept these terms.
2. The service
Virtual Menu gives each establishment a public menu reachable by QR code, a management panel to keep it current (categories, items, prices, photos, hours, and other establishment details), and, depending on the mode chosen, the ability for visitors to place orders through it — menu-only, orders sent to the counter, or prepaid orders processed through Stripe.
Some plans include additional features — a custom domain, an AI assistant for item text and photos, among others — described on the billing page of the panel.
3. Your account
You're responsible for keeping your password confidential and for all activity that happens through your account. You must be at least 18, or the age of majority in your jurisdiction, to create an account.
You can sign in with email and password, or through an external provider (Google or Facebook). By signing in through an external provider, you authorize us to receive your name and email from it, as described in our Privacy Policy.
You can invite other people to manage your establishment, with different roles (for example, full management or counter-only access). You're responsible for who you invite and for what those people do through your establishment's account.
4. Plans, pricing and payment
Virtual Menu has a free trial plan and paid plans, billed monthly through Stripe. Current prices for each plan are shown during registration and on the billing page before any charge.
By subscribing to a paid plan, you authorize us to charge the subscription on a recurring basis through Stripe until you cancel. You can cancel or change plans at any time from the billing page (which opens Stripe's customer portal); cancellation takes effect at the end of the period already paid for, without a pro-rata refund of the current period, unless the law requires otherwise.
If a payment fails, access to managing the menu may be limited until it's settled, but the establishment's public menu keeps working normally during that time.
When an establishment enables a prepaid ordering mode, end-customer money is processed directly through Stripe Connect into that establishment's own Stripe account — Virtual Menu never receives or holds those funds.
5. The content you publish
You're solely responsible for the content you publish through the panel — names, descriptions, prices, photos, and any other information about your menu and establishment. That content must be accurate, must not infringe anyone else's rights (for example, copyright in a photo that isn't yours), and must not be unlawful, misleading, or offensive.
You keep all rights to the content you publish. By publishing it through Virtual Menu, you grant us only the licence needed to store, process, and display it as part of the service — for example, to serve it on your public menu and to cache it briefly so it loads faster.
We may remove content that clearly violates these terms or applicable law, and suspend an account for repeated abuse, giving notice beforehand whenever possible.
6. Acceptable use
When using Virtual Menu, you agree not to: try to access another establishment's data; bypass rate limits, plan quotas, or other technical safeguards of the service; use the service to send spam or misleading content to your customers; reverse-engineer, copy, or resell the service itself (as distinct from your own menu, which is yours); or use the service in a way that overloads or disrupts its availability for other establishments.
7. Intellectual property in the service
The software, design, trademarks, and the Virtual Menu name belong to [COMPANY NAME] or its licensors. These terms grant you no rights over them beyond the right to use the service as described here.
8. Service availability
We work to keep the service continuously available, but we don't guarantee it will always be free of interruptions, errors, or downtime — including during maintenance, or for reasons outside our control (outages at providers such as Cloudflare, Supabase, or Stripe). The service is provided "as is", without warranties beyond those applicable law doesn't allow us to exclude.
9. Limitation of liability
To the maximum extent permitted by law, our liability to you for damages arising from use of the service is limited to the amount you paid for your subscription in the three months before the event that caused the damage. We're not liable for indirect damages, lost profits, or data loss resulting from misuse of your own account.
Nothing in these terms excludes or limits liability that the law doesn't allow us to exclude or limit, including for wilful misconduct or gross negligence.
10. Suspension and termination
You can close your account at any time from the panel, or by contacting us. We may suspend or terminate an account for serious or repeated breach of these terms, for unresolved non-payment, or where legally required, giving reasonable notice whenever possible.
After termination, the public menu stops responding and account data is deleted within the timeframes described in our Privacy Policy, except what we're legally required to retain (for example, billing records).
11. Changes to these terms
We may update these terms to reflect changes to the service or to applicable law. A material change will be flagged in the panel, and the date at the top of this page always shows when it was last revised. Continuing to use the service after a change takes effect means you accept it.
12. Governing law and venue
These terms are governed by Portuguese law. Any dispute not resolved amicably will be submitted to the competent courts of Portugal, without prejudice to mandatory consumer-protection rules that assign you a different venue, where applicable.
